Both Signatories duly guarantee their authority to sign this Agreement. 4. The agent may use the company`s trademarks for the sole purpose of promoting the company`s goods or services. Any such use must comply with the company`s trademark guidelines. This Recommendation Agreement does not confer on the Agent any interest in the Company`s trademarks or other intellectual property rights. 9. Each Party shall exempt the other Party (and any other relationship with the other Party) from any claim arising out of misrepresentation, omission, fault, non-performance or other actions related to this Agreement. A recommendation agreement formalizes the terms of the contract where an independent agent promotes a company`s goods or services for a referral fee. 6. This recommendation agreement does not grant the agent the exclusive right to act as a legal secretary on behalf of the company and the agent has no rights under other agreements concluded by the company with other agents. 8. Any party may at any time terminate this referral agreement by announcing the other party in writing ten (10) days in advance.
In the event of termination by either party, all outstanding referral fees due to the Agent on that date must be paid in full within thirty (30) days. 5. The relationship between the parties is at all times the independent counterparty relationship. This referral agreement does not establish an employment, partnership or joint venture relationship and the agent cannot at any time position himself as related to the company except as an independent speaker. With respect to this independent relationship, the agent may not enter into agreements on behalf of the company, not provide any explicit or implied warranty on behalf of the company, and may not incur costs on behalf of the company. A Finder`s Fee Agreement describes the relationship and compensation expected in a relationship in which an incentive is offered in exchange for new leads or customers. This Agreement constitutes the entire Agreement between the Parties and any amendments shall be made in writing and signed by both Parties.
